Customer Terms
Addvista Inc. and its subsidiaries · Version 1.1 · Effective date: 21 October 2026 · Last updated: 21 October 2026. Which language version governs: section 24.5.
In short
This box is a guide. It does not replace the full text.
- Your Order Confirmation names your contracting party: an Addvista Company (Model 1) or a named Provider for whom Addvista books and collects payment (Model 2).
- Recording is part of our service: Orders are at the Preferential Price and include recording of the work, with faces blurred and audio off, unless the Order Confirmation states the Recording-Free Price.
- The confirmed price changes only through a Change Order, a concealed site condition, or a price clause the law allows.
- You give safe access, a decision-maker, and accurate information on hidden services and hazards, and you tell people on site about recording.
- Cancelling is free from three business days ahead; later cancellations can cost the fee in clause 18.
- Statutory defect rights apply.
- The Regional Terms for your region (currently Europe and the United States) form part of these Terms and prevail there. They set the local rules, including liability limits, consumer withdrawal and cooling-off rights, and the governing law.
Part A
General Provisions
01Scope
1.1These Customer Terms ("Terms") apply when you book construction or trade services from or through Addvista, including any survey, inspection, or assistance the Order includes. They apply to business customers and, where we offer the service to them, to consumers. Mandatory law remains unaffected.
1.2These Terms are issued by Addvista Inc., a Delaware corporation with its registered office at 8 The Green, Ste R, Dover, DE 19901, USA, together with its subsidiaries and affiliated companies (each an "Addvista Company"; collectively "Addvista", "we", "us", "our"). Addvista may perform through any Addvista Company. Rights granted to Addvista extend to Addvista Companies.
1.3Your contracting party is the Addvista Company named in your order, booking, license order, account confirmation or engagement confirmation (for example Addvista Inc. or an Addvista subsidiary in your country). Where no Addvista Company is named, your contracting party is Addvista Inc. Where a third-party provider is named as the contractor for a service, that provider is your contracting party for the service itself, and Addvista acts only as stated in these Terms. The Order Confirmation names that entity, its address, and its registration details before the contract is concluded.
1.4Regional Terms. The regional terms for the region named in your Order Confirmation or account ("Regional Terms"; currently Europe, at www.addvista.com/terms/europe/, and the United States, at www.addvista.com/terms/us/) form part of these Terms. For that region they prevail over these Terms. The Order Confirmation may name a regional Addvista Company or a regional representative; if it names neither, your Addvista contracting party is Addvista Inc. If the order names no region, or a region for which no Regional Terms exist, the Regional Terms — United States apply, except where mandatory law requires otherwise.
02Structure and order of precedence
2.1Part A applies to every Order, Part B to Model 1, Part C to Model 2, Part D to recording, and Part E to Services.
2.2On a conflict, individually agreed terms in the Order Confirmation prevail, followed by the Order Confirmation (including the Specification and the price), a Change Order, the Regional Terms for your region, Part B or Part C, and the rest of these Terms.
2.3Under Model 2, a clause stating a duty of the party who owes the Works binds the Provider, through Annex 1 or the Provider's terms shown before booking. It does not make Addvista the contractor.
2.4Your purchasing terms and standard forms such as the VOB/B apply only if the Order Confirmation expressly includes them.
03Contracting party and the two models
3.1The Order Confirmation states whether Model 1 or Model 2 applies and names the contracting party for the Works. If it states neither or both, no contract is formed until a corrected confirmation is issued.
3.2Model 1 — Addvista as Contractor. The Addvista Company named in the Order owes the Works. Part B applies.
3.3Model 2 — Addvista as Intermediary. The Provider named in the Order owes the Works. Addvista arranges the booking, provides the platform, and collects payment as the Provider's limited payment-collection agent under clause 30. Addvista is not a party to the service contract, except for the booking, platform, payment-collection, and recording duties these Terms state. Part C applies.
3.4Before you accept a Model 2 Order, the booking flow shows the Provider's legal name, address, registration, any required license or Handwerksrolle number, whether it declares itself a trader (if not, consumer-protection rules may not apply to your contract with it), and its terms or a statement that Annex 1 applies.
04Definitions and interpretation
4.1In these Terms:
"Acceptance" means acceptance of the Works under clause 13, including a deemed acceptance or a substantial completion that the applicable law treats as acceptance.
"Change Order" means a text-form agreement, or a text-form instruction that clause 11 makes binding, changing the Works, the price, or the time.
"Order" means the contract formed under clause 5, and "Order Confirmation" the text-form confirmation or accepted checkout screen recording it, stating the model, the contracting party, the price, the Site, and the scope.
"Order Price" means the price stated in the Order Confirmation.
"Preferential Price" means the price, discount, credit, or free service for Works or Services that include recording under Part D. It is the price we offer by default.
"Provider" means the independent firm or tradesperson named as contractor under Model 2.
"Recording" means capture of the work under Part D.
"Recording-Free Price" means the price for the same Works or Services without recording, as shown at booking or stated in the Order Confirmation.
"Service Personnel" means employees of the party who owes the Works, and "Subcontractor" a firm or self-employed tradesperson that party engages to perform part of them.
"Services" means consulting, inspection, remote or on-site assistance, and AI-assisted quality checks under Part E.
"Site" means the place of the Works.
"Specification" means the scope, materials, quantities, drawings, and exclusions confirmed in the Order, including a building description where the law requires one.
"Works" means the construction or trade result described in the Order.
"You" and "Customer" mean the person who books the Order.
4.2"Including" means including without limitation. "Text form" means a readable statement on a durable medium that names the maker, including email and the booking account. "Business days" exclude Saturdays, Sundays, and public holidays at the Site.
4.3You are a "consumer" if you contract wholly or mainly outside your trade or profession, or if the applicable law treats you as one. Otherwise you are a "business customer".
05Quotes and conclusion of contract
5.1Quotes, advertisements, website prices, price lists, and sales conversations are invitations to make an offer and bind us only when an Order Confirmation confirms them. A quote is valid for the period it states, or for 30 days, and we may withdraw it before you accept.
5.2A contract is formed when the booking flow has shown the model, the contracting party, the Specification, the Order Price, and these Terms in a form you can store, you accept by an affirmative act in text form, and we issue a matching Order Confirmation (or the checkout itself is that confirmation). An acceptance that changes terms is a counter-offer.
5.3A cost estimate is not binding unless the Order Confirmation says so. If it will be exceeded by more than 15 percent (or the percentage in the Order), the contractor tells you first, and you may stop the affected part and pay for work performed and materials specially ordered.
5.4If a survey or inspection is carried out and you do not order within the quote period, you pay the fee shown before the visit. If you order, the fee is credited against the Order Price unless the quote says otherwise.
06Pricing
6.1The Order Price applies to that Order. Prices in advertising, on websites, in price lists, pitch materials, social media, presentations, and sales conversations are for information only, are non-binding, and change regularly; they become binding only when an Order Confirmation confirms them. Prices for future Orders may change at any time.
6.2Business prices exclude VAT and sales tax unless the Order says otherwise. Consumer prices include VAT and all mandatory fees.
6.3A lump sum covers the Specification only. Unit prices apply to measured quantities. Allowances are labeled, and the difference is credited or invoiced when you select the item.
6.4Unless the Order Confirmation states the Recording-Free Price, the Order Price is the Preferential Price and includes recording under Part D. Customers may ask for the Recording-Free Price before ordering. The Preferential Price applies only while Part D is complied with.
6.5For a consumer, the price of Works to be performed within four months after the Order is fixed, except for a Change Order, a clause 10 condition, and measured unit quantities. Any other consumer price change requires a mechanism stated in the Order before acceptance and permitted by mandatory law.
6.6Material prices, business customers, long projects. This clause applies only if the Order Confirmation incorporates it and completion is scheduled more than four months after the Order. The Order lists the materials, the line items they affect, and a base price and base month for each. Each material follows an official producer price index: for a German project, the Destatis index of producer prices of industrial products (domestic sales) under the GP number in the Order; for a project elsewhere in the European Union, the national statistics office's producer price index for the matching product, or the Eurostat series if there is none; for a US project, the Bureau of Labor Statistics Producer Price Index commodity series in the Order, such as WPU1017 for steel mill products. The base price moves by the change in that index from the base month to the month the material is delivered to the Site, up and down. Increases and decreases are netted. Nothing is adjusted unless the net change exceeds 2 percent of the price of the affected line items. The contractor bears 10 percent of a net increase and keeps 10 percent of a net decrease, in each case at least the amount of that threshold. No overhead or profit is added. A price rise caused by the contractor's culpable delay is not passed on. The party claiming an adjustment gives notice with the index figures within 30 days after the delivery month. The total adjustment is capped at the percentage of the material component stated in the Order or, if none, 15 percent. If the cap would be exceeded, either party may terminate the unperformed part. The contractor is then paid for work performed, materials specially procured, and reasonable demobilization.
6.7A price in an ongoing contract changes only as the contract states. A business customer receives at least 30 days' notice and may terminate before the change takes effect. A consumer price change needs express consent or a permission under mandatory law.
07Payment
7.1You pay the Order Price, as adjusted under these Terms. Sums are due without further demand unless the law requires one.
7.2A deposit is charged only if the Order shows it before acceptance and only within legal limits.
7.3The contractor may invoice progress payments for performance rendered.
7.4The final invoice follows Acceptance, less permitted retention. You pay a verifiable final invoice within 14 days, unless the Order or a statute sets another period.
7.5Interest on an overdue sum runs from the due date at the lesser of 1.5 percent per month and the maximum lawful rate.
7.6You may set off only an undisputed or finally adjudicated claim, or a counterclaim under the same Order for curing a Defect or completing the work. A consumer may also set off and withhold as mandatory law allows. You may retain a reasonable sum for an open Defect until cure, as the applicable law provides.
7.7Title in unincorporated materials stays with the contractor until paid. Risk passes on Acceptance, or earlier if you are in default of acceptance.
7.8If a sum is overdue, the contractor may suspend work after notice and a reasonable cure period.
7.9Payment authorization. You authorize us to charge the payment method you provide for the Order Price, deposits, progress payments, Change Orders you approve, adjustments under clause 6.6, and amounts due under clauses 17 and 18. Under Model 2 we charge as the Provider's payment-collection agent.
08Taxes
8.1VAT, sales tax, and use tax are added as the law requires, unless a reverse charge applies. You bear taxes on your property.
8.2The Order Confirmation states who issues the tax invoice.
09Customer cooperation and the Site
9.1You cooperate so the Works can proceed safely; delay you cause is at your risk. Unless the Order says otherwise, you provide at your cost: safe access and parking; electricity and water; owner permits; what you know about hidden lines, structure, asbestos, lead, and other hazards; a clear work area with valuables protected; a contact person who can approve Change Orders; and coordination of trades you engage.
9.2You keep people and pets out of the active work area. A reasonable safety or house rule binds the crew; a rule that changes scope, price, or time is a Change Order, and a rule that bans cameras triggers clause 35.3. The contractor may refuse an instruction that would break the law or a safe-work rule.
10Differing and concealed site conditions and hazardous materials
10.1The contractor inspects what is reasonably apparent. It does not open concealed spaces, test for hazardous materials, or assess structure unless the Order includes that work.
10.2A condition that differs materially from the Specification, or from what a careful contractor would expect, and was not reasonably apparent is treated as a change under clause 11. The contractor gives prompt notice and may stop affected work for safety.
10.3Asbestos, lead paint, PCBs, and mold are outside the scope unless the Order includes them and the performer holds the required license.
11Changes and Change Orders
11.1Work outside the Specification starts only under a Change Order, except emergency work under clause 11.2.
11.2A verbal request on site binds only once the party who owes the Works confirms it in text form. The contractor may do what is immediately necessary to protect people or the building and then confirms the cost and time. A Change Order includes a reasonable time extension unless it says otherwise.
12Time for performance, delays, hindrance, and force majeure
12.1Dates are estimates unless marked as binding.
12.2Time is extended for delay caused by you, a Change Order, a clause 10 condition, a permitted suspension, or a "Force Majeure Event", meaning an event beyond the affected party's reasonable control, such as abnormal weather, supply failure, strike, epidemic, or an act of public authority.
12.3If a suspension under clause 12.2 caused by a Force Majeure Event lasts more than 60 consecutive days, either party may terminate the unperformed part. The contractor is then paid for work performed, materials specially procured, and reasonable demobilization.
12.4If the contractor causes delay, your remedies are those of the governing law, as limited by clause 15 and the Regional Terms. Liquidated delay damages apply only if a business Order states them, and then as the sole delay remedy except for intent, gross negligence, and injury to life, body, or health.
13Acceptance
13.1You accept the Works when they conform in substance; an insignificant Defect does not justify refusal. You may reserve listed Defects.
14Defects and warranty
14.1A "Defect" is a failure of the Works to have the agreed or legally required quality. You notify a Defect in text form within a reasonable time after discovery and allow inspection and cure.
14.2Subsequent performance comes first where the law so requires, and the contractor chooses repair or replacement unless the law gives you the choice. If it fails, is refused, or is not owed, you have the further statutory rights, including self-remedy, price reduction, withdrawal, and damages, subject to clause 15 and the Regional Terms.
14.3Defect rights do not cover normal wear, misuse, alteration by others, materials you supplied, or a design or instruction you provided (clause 14.4).
14.4If the contractor sees that your substrate, design, or instruction will produce a Defect, it warns you in text form. If you then instruct it to proceed, it is not liable for the consequence, except for intent, gross negligence, or injury to life, body, or health. Manufacturer warranties pass through as the manufacturer allows.
15Liability
15.1You indemnify us against third-party claims to the extent caused by your culpable breach of these Terms, by a recording you authorized without the authority or notices Part D requires, or by a hazard you knew of and did not disclose.
15.2Under Model 2, Addvista's liability is limited to its own duties as clause 31.2 states.
16Insurance
16.1Under Model 1, the contracting Addvista Company maintains liability insurance customary for the trade, with limits of at least EUR 5,000,000 per occurrence for a German project and USD 5,000,000 per occurrence for a US project.
16.2Under Model 2, the Provider maintains its own trade insurance at the limits shown before booking. You maintain property insurance for the existing building and its contents.
17Termination
17.1Either party may terminate for good cause, including for a separable part. Good cause includes sustained non-payment, denial of access, and an unsafe Site that is not made safe. The contractor may also terminate if you do not cure a material non-payment or failure to cooperate within a reasonable notice period.
17.2On termination, the contractor makes unfinished work safe. Payment for work done, recording rights granted, and dispute resolution survive.
18Cancellation and no-show fees
18.1This clause compensates a reserved crew and a lost appointment. It does not apply during a statutory withdrawal or cooling-off period, and it does not apply because you switched to the Recording-Free Price or withdrew recording consent under clause 35. For cancellation of a multi-day project, clause 17 applies to the project, and this clause applies only to the day the crew was turned away.
18.2The fee is shown before you book. If the Order shows none, this schedule applies to a single appointment. EU amounts apply to a project in the European Union and US amounts to a project in the United States. You may prove that no loss occurred or that the loss was substantially lower, and you then pay only that lower amount.
| Notice before the appointment | Consumer, EU | Business, EU | Consumer, US | Business, US |
|---|---|---|---|---|
| 3 business days or more | None | None | None | None |
| Less than 3 business days, but 48 hours or more | None | EUR 100 | None | USD 125 |
| Less than 48 hours | EUR 50 | EUR 250 | USD 75 | USD 300 |
| No access on arrival | EUR 100 | EUR 400 | USD 150 | USD 500 |
18.3A fee above ordinary loss is reduced to that loss. The full project price is not a no-show fee.
18.4No fee exceeds the price of that appointment. For a Preferential Price booking with no cash price, the Recording-Free Price of that appointment is used for this limit. A business Order that reserves a crew for a full day may state a higher amount per crew member.
19Subcontracting
19.1The party who owes the Works may use Service Personnel and Subcontractors and remains responsible for them. You do not instruct them except to prevent immediate injury or damage.
20Non-solicitation of personnel
20.1A business customer will not, for twelve months after the Works end, solicit for employment a member of Service Personnel who was materially involved in the Order, except through a general advertisement.
21Confidentiality
21.1Each party keeps the other's non-public information confidential for three years after the Order and uses it only to perform the Order, except information that is public, already known, independently developed, or legally required to be disclosed.
22Data protection
22.1We process personal data as the Addvista Privacy Policy describes. The controller is the Addvista Company named in the Order. The privacy contact is data@addvista.com.
22.2Where we process personal data only on your instructions, a data-processing agreement applies. Recording under Part D and Assist under clause 38.5 are our own controller purposes.
22.3You give the people you are responsible for the notice clause 34 requires.
23Governing law and disputes
23.1These Terms and each Order are governed by the law of Delaware or by the law of the project location, as the Regional Terms provide, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
23.2Nothing in these Terms deprives a consumer of the protection of the mandatory law of the consumer's country or state of habitual residence.
24General provisions
24.1The Terms accepted with an Order govern that Order. We may change the Terms for future Orders at any time. On a continuing contract, a business customer receives 30 days' notice and may terminate before the change; legally required or solely beneficial changes may apply immediately.
24.2If a provision is invalid, the rest remains effective.
24.3We may assign an Order, or rights under it, to an Addvista Company or to a successor in a merger, acquisition, sale of assets, or reorganization, on notice. You may assign only with our consent, except to a successor who acquires the Site and assumes your duties.
24.4Notices are given in text form to the addresses in the Order Confirmation and, for us, to legal@addvista.com. A notice you must give never requires a stricter form than text form.
24.5These Terms are drafted in US English.
24.6You will not use the services in violation of sanctions, export-control, or anti-bribery law.
24.7There are no third-party beneficiaries, except that the Provider may rely on the payment discharge in clause 30.3. Electronic acceptance satisfies a writing requirement to the extent the US E-SIGN Act, a state electronic-transactions law, or Regulation (EU) No 910/2014 allows.
24.8Customer content and feedback. You grant Addvista a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, adapt, publish, and display photos, reviews, ratings, and other content you submit, to provide and improve our services, develop our products and models, and promote Addvista, and you confirm you hold the necessary rights. We may use feedback freely.
Part B
Model 1: Addvista as Contractor
25Application
25.1Part B applies only if the Order Confirmation states Model 1 and names an Addvista Company as the contractor. That company owes the result, and Part B prevails over Part A on how we perform.
26Performance by Service Personnel and Subcontractors
26.1We perform through our Service Personnel, Subcontractors, or both, and choose means, methods, and staffing.
26.2Service Personnel remain our employees. A Subcontractor contracts with us, not with you, and your remedies for the Works run against us.
27Responsibility and licenses
27.1We are responsible for our Subcontractors as for our own personnel.
27.2The Addvista Company that owes the Works holds every license the Works require.
27.3We obtain trade permits unless the Order places an owner permit on you.
28Site, materials, clean-up, and records
28.1We manage our work area and our people's safety. You remain responsible for your employees, other contractors, and hazards you control. We may stop unsafe work.
28.2We supply the materials the Specification names and, where this is reasonable for you, may substitute an unavailable item with an equivalent of the same appearance, performance, and price.
28.3We leave the work area broom-clean and remove our debris. Hazardous or pre-existing waste is removed only if the Order includes it. After Acceptance, we hand over manuals and product data for equipment we installed.
28.4You report Defects to support@addvista.com with the Order number. If our work has left the Site unsafe, call the phone number on the Order Confirmation at once.
Part C
Model 2: Addvista as Intermediary
29Role and disclosure
29.1Part C applies only if the Order Confirmation states Model 2 and names the Provider as the contractor.
29.2We operate the platform, transmit the booking, collect payment under clause 30, and run the recording program. We do not perform, direct, or guarantee the Works.
29.3A license or insurance check we report is a lookup or document received on the stated date, not a statement about the Provider's skill or a warranty of the Works.
29.4The Provider's terms apply if they were shown before booking and you could store them; otherwise, and to fill gaps, Annex 1 applies. A Provider term that reduces a mandatory consumer right does not apply.
30The Provider's responsibility and payment agency
30.1The Provider is responsible for the Works, licenses, permits, insurance, its subcontractors, and defect rights, and your claims for the Works run against it.
30.2The Provider appoints Addvista, in writing and before your payment, as its limited payment-collection agent solely to accept your payment for that Order.
30.3Your payment to Addvista discharges your obligation to the named Provider in the amount we actually receive. A refund we must return reduces the discharge by that amount.
30.4The Works price shown is the Provider's price. A platform fee is labeled before you pay.
30.5The Order Confirmation states who issues the tax invoice.
30.6Lien rights belong to the Provider and its subcontractors and suppliers, as project law provides.
31Complaints, our liability, reviews, and circumvention
31.1You may complain to the Provider and copy support@addvista.com. We may forward complaints and may suspend or remove a Provider at our discretion, without becoming responsible for the Works.
31.2We are liable only for our own platform duties (booking, payment collection, and Recordings under Part D), not for the Provider's workmanship, delay, or insolvency. Our total liability for an Order is limited to the greater of the platform fees you paid us for it and USD 100 (EUR 100 for an EU project), except for the unlimited items in the Regional Terms, fraud, willful misconduct, and liability the law does not allow to be limited.
31.3You will not post a review you know to be false. We may remove unlawful content, unnecessary personal data, and spam.
31.4Circumvention, business customers only. If we introduce a Provider and, within twelve months, you contract directly with that Provider for the same scope to avoid a disclosed platform fee, you pay that fee, or 10 percent of the net price of the bypassed contract if the Order states that rate and no fee was quantified. You do not owe it if the Provider was already yours, the introduction was not completed, the project is materially different, or you prove the direct contract did not come from the introduction. This clause does not apply to a consumer.
Part D
Recording Program and Preferential Pricing
32Recording as part of the service
32.1We use Recordings of real work to develop our assistance and safety systems, to train, evaluate, and develop robotic and AI systems, and to license de-identified Recordings for those purposes. The Preferential Price reflects that value. Faces and other identifying details are blurred before any dataset is released.
32.2Business customers and US consumers. Every Order includes recording under this Part D unless the Order Confirmation states the Recording-Free Price. By placing the Order you agree to recording at the Site within clauses 33 and 34.
32.3Audio is off unless separately enabled under clause 33.2. Processing of special categories of personal data needs separate explicit consent.
32.4Other people on site are informed under clause 34. Toward them we rely on our legitimate interests in developing assistance, safety, robotic, and AI systems. They may object, or ask the crew to pause, as the Privacy Policy describes.
33What is recorded and what is not
33.1A Recording is made only with a platform-approved device and the Addvista app, from a first-person view of hands, tools, materials, and the immediate work area, and may include motion and force sensor data.
33.2Audio is captured only if enabled for the task and the people who will be heard have given the consent the law requires.
33.3The crew does not deliberately record minors; bathrooms, changing areas, bedrooms, or medical rooms outside the work zone; medical situations; screens, passwords, payment cards, identification documents, or private messages; or confidential plans and documents.
33.4Recording stops if continuing would be unsafe or unlawful, if a person present asks, or if the task enters an excluded area.
33.5We do not provide Recordings to you for decisions about your employees. We may use Recordings ourselves for verification, quality assurance, fraud prevention, safety, and as evidence in a defect claim or dispute.
33.6We do not use facial recognition and do not create or store face templates, voiceprints, or other biometric identifiers. Faces, plans, documents, screens, and license plates are de-identified before licensing.
34Your authority, notice, and limits
34.1Where an Order includes recording, you authorize recording in the work areas of the Site for the purposes in clause 32 and warrant that you may admit the crew and permit that recording, as owner, as a tenant whose lease allows it, or under written authority from the person who has that right.
34.2Before recording starts, you tell every person who will be present what will be recorded and why, and that they may ask for a pause, and you post the signage we supply at the work area.
34.3You cover or remove plans, credentials, and screens that should not be in frame. If you cannot meet this clause 34, we do not record and clause 35 applies.
34.4If you are a business customer and your staff may be recorded, you warrant that you have obtained any consent, given any notice, completed any consultation, and concluded any works-council agreement the law requires; you indemnify us against claims arising from a breach of this warranty, and we may suspend recording until it is met.
34.5You keep minors out of the work area while recording is on. If a minor enters, recording stops and the segment is deleted. Any adult present may require a pause or a stop.
35Switching to recording-free, withdrawal, and price
35.1Business customers and US consumers. You may switch unperformed visits to the Recording-Free Price by text-form notice, in the app or to data@addvista.com, at least two business days before the visit.
35.2Work already performed stays at the Preferential Price. Recordings made before a switch or withdrawal may still be used under clause 36.
35.3If a site rule or building owner prohibits recording, clauses 35.1 and 35.2 apply as if you had switched or withdrawn.
35.4We may change or end the Preferential Price, the recording discount, or the recording program for future Orders at any time. Confirmed Orders keep their agreed price.
36Rights and deletion
36.1You grant Addvista a worldwide, transferable, and sublicensable right, unlimited in time, to use Recordings of the Site for the purposes in clause 32, exclusive to the extent you own rights in them. You keep your building, plans, and other pre-existing intellectual property.
36.2We may use de-identified clips to market Addvista's services. You may opt a clip of your Site out of future advertising by notice to data@addvista.com.
36.3A person may ask us to delete a Recording. Before a dataset release we delete it; after release we delete what we hold, stop further distribution, and tell recipients, and trained models are not retrained unless the law requires it. Raw identifiable Recordings are kept until de-identification and quality checks are complete, plus not more than 90 days, unless flagged for fraud, safety, or a claim.
36.4Special categories of personal data are avoided and removed. We do not infer emotion, pain, or mental state from Recordings. Licensees are prohibited from attempting to re-identify any person.
36.5We do not collect, retain, sell, or otherwise profit from biometric identifiers or biometric information.
Part E
Consulting, Inspection, and Assistance Services
37Nature of the engagement
37.1Part E applies to Services. We perform them with reasonable care and do not promise a particular result unless the Order sells a defined result with acceptance criteria.
37.2Fees and travel are as the Order states; for a consumer, unavoidable travel is included in the total price. You provide access, accurate information, and timely decisions. Extra work needs a text-form change stating price and time.
37.3Cancellation of a reserved day follows clause 18. Liability follows clause 15 and the Regional Terms.
38AI assistance, reports, and remote sessions
38.1Addvista Assist is an assistance system that helps qualified workers check their own work steps. It can make mistakes and does not replace professional judgment, inspections required by law, or occupational-safety duties. The user and the company remain responsible for the work. The same applies to any AI-assisted quality check. Liability follows clause 15 and the Regional Terms.
38.2You will not use Assist as the sole means of energy isolation, as a permit to work, or for structural sign-off. People are told when they interact with an AI system.
38.3We do not give legal, tax, or engineering advice or certification unless a separate engagement says so. Only you may rely on our reports.
38.4You keep your inputs and receive a non-exclusive, perpetual, paid-up right to use our written deliverables for your internal business. We keep all rights in our pre-existing materials, software, models, and know-how.
38.5We keep Assist and remote-session material for quality assurance, safety, support, and fraud prevention for a limited period (by default 90 days), and we use it to improve and develop our products and models on the basis of our legitimate interests, using de-identified material where reasonably possible. You may object at any time in the settings or by email to data@addvista.com. Audio is recorded and stored only with consent. For a business customer, we act as an independent controller for this use; you inform your staff, have any legal basis and works-council agreement the law requires, and warrant this. Paid team plans may switch model improvement off.
Annex 1Minimum Service Terms for Providers (Model 2)
These terms bind the Customer and the Provider when clause 29.4 says so. Addvista is not the contractor; it is the limited payment-collection agent under clause 30.
A1.1 Contract and price. The Provider performs the Works in the Order Confirmation at the Site for the Order Price as an independent contractor. Payment to Addvista discharges the Customer's debt to the Provider in the amount Addvista receives.
A1.2 Performance. Clauses 9 to 12 apply with the Provider as the contractor. Verbal extras bind only when the Provider confirms them in text form.
A1.3 Acceptance and defects. Clauses 13 and 14 apply.
A1.4 License, insurance, subcontractors. The Provider holds the licenses and registrations the work requires and the insurance in clause 16.2, obtains trade permits in its own name, remains responsible for its subcontractors, pays them, and gives the lien notices the project requires.
A1.5 Recording. If the Order includes recording, the crew records only under Part D, and the Provider claims no rights in the Recordings against Addvista.
A1.6 Ending and liability. Clauses 15, 17, and 18 apply with the Provider as the contractor. Addvista's liability is limited as clause 31.2 states.
A1.7 Consumer protection and law. If the Customer is a consumer and the Provider is a trader, the consumer provisions of the Regional Terms apply. Clause 23 governs disputes.
